Client Service Agreement

Note: This page reflects the standard terms Netvoyant uses with all clients. Before work begins, we'll send you a copy to sign with your project's specific details filled in: package, pricing, and start date. If you have questions about anything here, just ask us.

1. Parties

This agreement is between Netvoyant ("we", "us", "Netvoyant") and the business or individual named in the accompanying project proposal ("Client", "you"). It governs all web design, hosting, and ongoing services provided by Netvoyant to the Client.

2. Services

Netvoyant will provide the services outlined in the project proposal, which may include any combination of:

  • Custom website design and development
  • Web hosting on Netvoyant-managed servers
  • SSL certificate installation and renewal
  • Security monitoring and malware protection
  • Regular software updates and maintenance
  • Automated backups with restore capability
  • Professional email and domain setup
  • Local SEO configuration
  • Ongoing technical support

The specific services included in your plan are detailed in your project proposal. Any services outside the agreed scope will be quoted separately before work begins.

3. Fees & payment

Setup fee

A one-time setup fee is charged to cover the design and development of your website. This fee is due before work begins and is non-refundable once work has commenced. The amount is specified in your project proposal.

Monthly fee

A recurring monthly fee covers your hosting, maintenance, security, and ongoing support. This fee is billed on the same date each month, beginning on your site's launch date. The monthly amount is fixed for the duration of your initial 12-month term. Netvoyant will provide at least 30 days' notice before any rate changes take effect at renewal.

Payment terms

Monthly invoices are due within 7 days of the billing date. Accounts more than 14 days past due may result in services being suspended until payment is received. Accounts more than 30 days past due may result in termination of the agreement.

4. Ownership

Your website

You own your website. All website files (including design files, code, content, and images provided or created for your project) belong to you. Upon request and upon settlement of any outstanding balance, Netvoyant will provide a complete export of your website files so you can host them elsewhere.

Your domain

Your domain name is always registered in your name, not Netvoyant's. You maintain full control of your domain at all times. Netvoyant may manage DNS settings on your behalf as part of the service, but domain ownership remains entirely yours.

Netvoyant's tools & infrastructure

Netvoyant's proprietary processes, server infrastructure, and internal tools remain the property of Netvoyant. These are not transferred to the Client.

5. Term & commitment

Initial term

This agreement has a minimum term of 12 months from the date of your website launch. This commitment exists because we invest significant time in the build phase. The setup fee covers materials and time, but the monthly fee is how we sustain the relationship. The 12-month minimum ensures the arrangement is viable for both parties.

Renewal

After the initial 12-month term, the agreement automatically continues on a month-to-month basis at the same monthly rate, unless either party provides written notice of cancellation at least 30 days before the next billing date. Alternatively, you may renew for another 12-month term. Renewed terms may include updated pricing, which we'll discuss with you in advance.

6. Cancellation

Cancelling after the minimum term

After the initial 12-month term, you may cancel at any time by providing 30 days' written notice to [email protected]. Your services will remain active through the end of the 30-day notice period. No refunds are issued for unused days within a billing cycle.

Early cancellation

If you cancel before the end of your 12-month initial term, the remaining monthly fees for the term become due. We understand circumstances change. If something significant comes up, reach out and we'll have an honest conversation about it.

What happens when you leave

On cancellation, the following occurs:

  • You receive: A complete export of your website files (HTML, CSS, images, content) delivered within 5 business days of your final payment
  • Your domain: Remains fully in your control. We'll remove our DNS management and you can point it wherever you like
  • Hosting stops: Your site will go offline from our servers on the last day of your service period. You'll need to arrange hosting elsewhere to bring it back online
  • Maintenance & support stop: Security monitoring, backups, updates, and support access end on the last day of service
  • Email: If your email was hosted through Netvoyant, you'll need to migrate to a new email provider. We'll provide guidance to make this as smooth as possible

7. Client responsibilities

To allow us to do our best work, you agree to:

  • Provide accurate business information, content, and materials needed for your website in a timely manner
  • Review and provide feedback on design drafts within agreed timeframes
  • Ensure that any content, images, or materials you provide do not infringe on third-party intellectual property rights
  • Keep your payment method current to avoid service interruptions
  • Not attempt to modify, hack, or interfere with your website's hosting infrastructure

8. Uptime & service levels

Netvoyant targets 99.9% uptime for hosted websites. Occasional downtime may occur due to scheduled maintenance, third-party infrastructure issues, or circumstances beyond our control. We monitor all hosted sites and will notify you of any extended outages. Downtime does not qualify for billing credits unless it exceeds 24 consecutive hours due to a fault on our end.

9. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the course of the engagement (including business details, pricing, and project specifics) and not to disclose it to third parties without consent. This does not apply to information that is publicly available or independently known by either party.

10. Limitation of liability

Netvoyant's total liability for any claim arising from this agreement shall not exceed the total monthly fees paid in the 3 months prior to the claim. Netvoyant is not liable for indirect, incidental, or consequential damages including lost revenue, lost data, or business interruption. We maintain backups precisely to minimize data loss risk, but no backup system is 100% guaranteed.

11. Changes to this agreement

Netvoyant may update these standard terms from time to time. Any changes that materially affect existing clients will be communicated with at least 30 days' notice before they take effect. Your continued use of Netvoyant's services after that period constitutes acceptance of the updated terms.

12. Governing law

This agreement is governed by the laws of the jurisdiction in which Netvoyant operates. Any disputes that cannot be resolved informally will be subject to the courts of that jurisdiction.

13. The whole agreement

This agreement, together with your signed project proposal, constitutes the entire agreement between you and Netvoyant. It supersedes any prior conversations, emails, or informal understandings about the engagement.
